Terms & Conditions

These Terms & Conditions ("Terms") apply when you buy, subscribe to or use the software products, set-up, support and development services (together, the "Services") offered by MLV Empire (SSM 202603009657 (CA0415143-T)), a business registered in Malaysia under the Registration of Businesses Act 1956, of No. 39, Jalan Perjiranan 10/14, Bandar Dato Onn, 81100 Johor Bahru, Johor ("MLV Empire", "we", "us" or "our"). By ordering or using the Services you agree to these Terms. If you are accepting them for a company or other organisation, you confirm that you are authorised to bind it. If you do not agree, please do not use the Services.

1. What we provide

MLV Empire sells, sets up and supports business software products (including AsliCRM, Asli ERP, Asli Dine, Asli Campus, Asli Lex, Aslio, Aslio Flow, QRasli, Guestopix and Aslify) that are built and operated by our technology partner, Asli One Global Private Limited ("our technology partner"). We also design and build websites, mobile applications and custom software for clients. Engineering and hosting work may be carried out by our technology partner on our behalf; MLV Empire remains your contracting party for the Services you buy from us.

2. Quotes, orders and written agreements

• Development and implementation work is quoted in writing, in Malaysian ringgit, against a written scope. Any price shown on our website as "from" or "starting from" is a starting point only and is not an offer to do a particular piece of work at that price.
• A quote is valid for the period stated on it. Work starts when you accept the quote in writing and pay any deposit it requires.
• Changes to an agreed scope must be agreed in writing and may change the price and the timeline.
• Where you sign a separate agreement or accept a written quote with us, its terms take priority over these Terms if the two conflict.

3. Software subscriptions

• Subscriptions run for the period you choose (for example monthly or yearly) and renew for the same period unless cancelled before the renewal date.
• Where you subscribe to a product directly inside that product (for example a self-serve AsliCRM plan), the plan, price, limits and billing shown in the product apply in addition to these Terms.
• Free plans may have usage limits and may be changed or withdrawn with reasonable notice.
• We may change subscription prices for future billing periods by giving you notice before the change takes effect. A price change does not affect a period you have already paid for.

4. Fees and payment

• Prices are in Malaysian ringgit (RM). Sales and service tax (SST) is added where it applies.
• Invoices are payable within the period stated on the invoice. Payment for some Services, such as prepaid credit, is taken in advance.
• If an invoice remains unpaid after we have reminded you in writing, we may suspend the affected Services until it is paid.
• Payments may be processed by third-party payment providers. We do not store your full card or bank credentials.

5. Refunds and cancellations

Refunds and cancellations are governed by our Refund & Cancellation Policy, which forms part of these Terms.

6. Your data

• You own the data you put into the Services. You can ask for an export of it at any time while your account is active and for a reasonable period after it ends.
• Where you use the Services to store personal data about your own customers, staff or students, you are responsible for having a lawful basis to collect and use it under the Personal Data Protection Act 2010. We and our technology partner process that data only to provide the Services to you and on your instructions.
• How we handle personal data is explained in our Privacy Policy.

7. Intellectual property

• The software products, their code, designs and trade marks remain the property of their owners, including our technology partner. A subscription gives you a limited, non-exclusive, non-transferable right to use the product for your own business while the subscription is active.
• Ownership of bespoke work we build for you (such as a custom website, app or module) is set out in the written quote or agreement for that work. Unless it says otherwise, ownership or the licence of bespoke work passes to you when the work has been paid for in full.
• You keep ownership of the content, logos and materials you give us, and you allow us to use them to deliver the Services.

8. Acceptable use

You agree not to:

• use the Services for any unlawful, fraudulent or harmful purpose, including sending unsolicited bulk messages;
• interfere with, disrupt, or attempt to gain unauthorised access to the Services or related systems;
• copy, scrape, reverse-engineer or resell any part of the Services except as we agree in writing;
• upload content that infringes someone else's rights.

We may suspend an account that breaches this section, and will tell you why.

9. Availability and support

We take reasonable care to keep the Services available and secure, but we do not promise that they will be uninterrupted or error-free. Planned maintenance is carried out at quiet times where possible. Support is provided by email at hello@mlvempire.my and through any other channel stated in your quote or plan.

10. Third-party services

The Services may rely on or connect to third-party services (such as payment providers, app stores, domain registrars, email and messaging providers). Your use of those services is subject to their own terms, and we are not responsible for their acts or omissions.

11. Warranties and limitation of liability

• Nothing in these Terms excludes or limits any right you have under Malaysian law that cannot lawfully be excluded or limited.
• Subject to that, the Services are provided on an "as is" and "as available" basis, and we give no warranties other than those set out in these Terms or in a written agreement with you.
• To the fullest extent permitted by law, we are not liable for indirect or consequential loss, or for loss of profit, revenue or data that you could reasonably have avoided (for example by keeping your own backups).
• To the fullest extent permitted by law, our total liability arising out of or relating to the Services is limited to the fees you paid to MLV Empire for the Service concerned in the twelve (12) months before the event giving rise to the claim.

12. Indemnity

You agree to compensate MLV Empire for claims, losses and reasonable costs arising from your breach of these Terms or from content or data you supply that infringes someone else's rights or breaks the law.

13. Ending the Services

You may stop using the Services at any time, subject to any minimum term in your quote or plan. We may end or suspend the Services if you materially breach these Terms and do not put it right within a reasonable time after we tell you. When the Services end, we will make your data available for export for a reasonable period before it is deleted.

14. Governing law and disputes

These Terms are governed by the laws of Malaysia. We will first try to resolve any dispute with you in good faith by discussion. If it cannot be resolved that way, it will be decided by the courts of Malaysia.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date above shows when they last changed. If a change materially affects a Service you pay for, we will tell you before it takes effect.
